how did they do this during the lockout?

do franchise offers differ than other negotiations because the price is "set"?

It is the franchise contract he was giving for the DT position, Ngata is widely considered one of the best defensive players in the leauge and the Ravens will attempt to lock him up long term.
He plays DE though, because Gregg plays NT. The Ravens did that before with Terrell Suggs though, so it doesn't surprise me. They still ended up with an extension for him, so it doesn't mean much in the short or long term.

Ngata is a key to their defense though, so they need to get him signed long-term when the lockout ends.

Ngata came in as a DT and often plays the NT in our 3-4. It's a cycle, that they use Ngata---Cody----Gregg. At times Suggs comes down to play DE, with Redding, Kruger, JJ, or McKinney plugging in.

In reality the Ravens play so many different formations, I wouldn't even classify them as a true 3-4 defense.
